These terms
These terms govern your use of Ledgery, provided by Ledgery Ltd, a company registered in England and Wales (company number 17378245) with a registered office at [registered address]. By creating an account you agree to them.
Our privacy policy forms part of this agreement. Where these terms and the privacy policy conflict on a data matter, the privacy policy wins.
What Ledgery does
Ledgery is record-keeping and filing software for Making Tax Digital for Income Tax. It stores your income and expense records, reads receipts you upload, raises invoices, calculates your quarterly totals and — when you approve them — sends your quarterly updates and final declaration to HMRC.
Your responsibilities
You are the taxpayer. That means you are responsible for:
Your account
You must be 18 or over and resident in the UK. One account per taxpayer — accounts are personal to you and may not be shared. Keep your password confidential and tell us immediately if you think someone else has access.
If you invite an accountant or bookkeeper, you are authorising them to see and edit your records. Their actions in your account count as yours.
Free quarter and payment
Prices include VAT where applicable. Card details are handled by our payment processor; we never store them.
Cancelling and refunds
Cancel in Settings at any time. Monthly plans run to the end of the paid month; annual plans run to the end of the paid year. We do not pro-rate part-months.
Availability and support
We aim to keep Ledgery available at all times, but we do not promise uninterrupted service. Planned maintenance is announced in advance and kept away from the weeks before a filing deadline where we can.
Filing depends on HMRC’s systems. If HMRC is unavailable we will hold your submission and retry, and we will tell you when it succeeds. Support is by email, Monday to Friday, with replies usually the same working day.
Not tax advice
Category suggestions, tax estimates and prompts in the app are general guidance based on the figures you give us. They are not regulated tax, accounting, legal or financial advice, and they do not take account of your wider circumstances.
Any tax figure shown before your final declaration is an estimate. If your affairs are complicated — multiple businesses, capital gains, overseas income, disputes with HMRC — speak to a qualified accountant.
Liability
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Your statutory rights as a consumer are unaffected.
Subject to that, we are not liable for penalties, interest or additional tax arising from figures you entered or approved, from records you did not keep, or from deadlines you missed. We are not liable for losses caused by HMRC’s own systems, or for indirect or consequential loss.
Where we are liable, our total liability in any 12-month period is limited to the greater of the fees you paid us in that period and £100.
Your data and our IP
Your records are yours. You grant us only the licence we need to host, process and submit them on your instruction, as described in the privacy policy. We do not use your records to train third-party AI models and we never sell your data.
The Ledgery software, name, logo and design are ours. You may not copy, resell, reverse-engineer or scrape the service, or use it to build a competing product.
Suspension and closure
We may suspend or close an account if payment fails and stays unpaid, if we reasonably suspect fraud or unlawful use, or if these terms are seriously breached. Except in cases of suspected fraud we will warn you first and give you a chance to put it right.
If we close your account you will always be given the opportunity to export your records first, unless the law prevents it.
Changes, governing law and complaints
We may update these terms. For material changes we will email you at least 30 days before they take effect; continuing to use Ledgery after that means you accept them. If you do not, cancel before the change applies.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction — though if you live in Scotland or Northern Ireland you may bring proceedings in your own courts.
If something goes wrong, email support@ledgery.co.uk. We will acknowledge within two working days and aim to resolve within ten.
